JUNCTION STAGE B SELF HELP GROUP CONSTITUTION
1.0NAME OF THE GROUP:
The name of the group shall be;JUNCTION STAGE B SELF HELP GROUP. 2.0 PURPOSE OF THE GROUP; JUNCTION STAGE B SELF HELP GROUP is hereby established as anon- political, non- sectarian, voluntary self- help group of youths and elderly members for the furtherance of the objectives hereinafter appearing. 3.0 ADDRESS OF THE GROUP: 3.1 Postal Address: 72 Ogembo 3.2 Physical Address: Igembe 3.3 Email Address: bethsaidashg7@gmail.com 3.4 Phone number: 0700609658/0792883671
4.0 OBJECTIVES OF THE GROUP:
To be a forum where members would give each other financial, social, emotional, mental and spiritual support wherever necessary. To set a good living standard for the new generation to prepare them for the role model leadership in our country. To promote talents ,roles norms, cohesion and integration among members and others. To uplift the educational stability and economic status of the members and their local communities. To transform the youth and young and young generation and mould them into leaders of tomorrow.
4.1 SPECIFIC OBJECTIVES
To create an enabling environment for enhancing poverty eradication through education, table banking , farming, strengthening the education awareness spirit and business activities aimed at improving the living standard of the people in the community. 4.1 VALUES To promote saving among the poor people through mobilizing the communities , organizations and youths in the community to share and participate in all aspects of education, health, stability and poverty reduction in the community 5.0 GROUP ACTIVITIES The group‘s major activities are: i) Table banking ii) Farming iii) Catering services iv) Welfare activities v) Welfare activities vi) Educational awareness 5.0 MEMBERSHIP Membership is open and eligible member must:
a) Be aged 18 years and above and not limited stability
b) Be a person of sound mind c) Be willing to abide by all the rules and regulations of the group d) Must be a registered member of the group 5.1 Procedure of joining as a member a) Be introduced at least one member of the group who has been active for a period of not less than 6 months b) Shall pay anon- refundable registration fee of ksh 3000/= such other fee as may be prescribed by the group. c) Shall be required a monthly contribution of not less than ksh 50 or such other fee as may be determined by the general meeting of group from time to time c) Every member, on being accepted for membership ,shall notify group of his/her next of kin, and the next of kin shall be responsible for the debts and he/she will be entitled to the rights ,privileges ,obligations, emoluments and dividends of the deceased member. 5.2 Removal procedure a) The executive committee shall have power to suspend an official/a member from his /her membership officially on the group when the members conduct has adversely affected the reputation and dignity of the group or that member has contravened any of the provisions of the constitution of the group. b) A member/official who has failed to abide by rules /constitutions or who fails to attend (3) three consecutive monthly meetings without any form of apology will be removed from the membership. c)The grievances against a suspended member shall be reported and discussed in the next meeting of the group following the suspension and the meeting shall resolved by a two-third majority of the members present whether to expel the suspended member or lift the supervision . d)A person expelled from membership of the group may re-apply for membership to provide such a person shall only be admitted as a member with the authority of a special resolution adopted by annual general meeting. e) Any person who is expelled from membership is entitled to refund the group with 10% of any money contributed by him/her to the group. 5.2 RESIGNATION OF AMEMBER FROM THE GROUP a)Any member desiring to resign from the group shall give a two (2) month written notice of the intended resignation to the secretary and the resignation shall take effect from the date of expiry of the notice, provided that the member has cleared all outstanding loans and other commitments made by him/her to the group and has handed all over the properties of the group in his/her possession during the period of notice. B) If any other shares of a member desiring to resign have been invested in land, building, and other immovable property, the resignation shall only be effective when another member of the group has bought such invested shares. Assets bought ,donated to the group by the group members shall remain as part and parcel of the group’s resources ,these shall not be limited to; Tents, Chairs Tables stationary or any other v item in the group c)Any member who fails into arrears with his/her annual subscription for more than one year shall automatically cease to be a member and his/her name struck off the register of the member but after clearing your financial records. 5.3) Duties of a member a) Attending group meetings b) Participating in group activities c) Obey the group constitution and by- laws 5.4 Rights of a member Right to decision making Right to get dividends at the end of the cycle Right to information about group finances and activities 5.5 DISCIPLINARY PROCEDURE A member who will be realized to the undisciplined/not adhering to the rules and regulations ,the penalties will be taken by the time keepers depending on the rule he /she has committed as stated in the rules and regulations of the constitution list In case of serious case, the disciplinary committee will be appointed to guide and counsel the member. If he/she will not be at position to change, the disciplinary committee will hand him/her to the executive committee for the interrogation and suspension. The grievance against the suspended member shall be reported and discussed in the general meeting if he/she can be removed from his /her membership of the group. 6.0 OFFICE BEARERS a) The chairperson -The chairperson shall be executive head and spokesperson of the group -The chairman shall provide leadership to the group and shall preside over all meetings of executives committee and at all general meetings unless prevented by illness or sufficient cause. -Organizes meeting’s Agenda and summarizing them at the end, encourages participation by all members represent the group meeting with others. b) The chairperson -Shall perform such duties as may be specifically assigned to him/her by the chairperson and in the absence of the chairperson, shall perform all the duties of the chairperson c) Secretary The secretary shall deal with all the correspondence of the group under the general supervision of Attars where the executive committee cannot be consulted, he/she shall consult the chairperson or if the chairperson is not available, the vice chairperson The decision reached shall be subjected to ratification or otherwise at the next executive committee meeting He/she shall issue notice of convening all meeting of the group He/she shall be responsible for taking and keeping minutes of all such meetings and for preservation of all records and proceedings of the group of the executive committee c) Vice-secretary
Shall perform such duties as may be specifically assigned to
him/her by the secretary of the executive committee .In the absence of the secretary,he/she shall perform the duties of the secretary E) Treasurer
-Shall receive and disburse (under the direction of the executive
committee) all money belonging in the group shall issue receipts of all money received by him/her -The treasurer shall be responsible to the executive committee members that proper books of the accounts of money received and paid out by the group are written up, preserved and available for inspection and audit 6.1 sub-committees I. Resource Mobilizer Shall consist of chair and the secretary Shall deal with mobilization of group resources in form of money or items through donors, group assets sales and other avenues. ii. Time keeper/solder He/she will be responsible for keeping time during meetings and ensure all members adhere to the rules. He/she will be collecting fine charges and submitting to the treasure and secretary
iii. Advisory committee
Consists of three (3) members and must be gender sensitive. They should advice the executive on general progress of the group and assist in dispute resolution.
6.2 TENURE OF OFFICE BEARER
Office bearers shall elected and serve in office for a year after which another election will be held in a general meeting. The office bearers are eligible for a re-election.
7.0 group Finances
The group funds shall be sourced from a) Member registration fees and subscriptions b) Loans and grants c) Fundraising
d) Support from group’s friends and well-wishers
e) Members contributions 7.1 Management and accounting for the group funds There shall be a clear records on books of accounts about shares, Loans and other funds sourced to the group and the treasurer shall be held accountable to such records as well as the secretary.
7.2Application/ use of group funds
The group funds shall only be used on ventures agreed upon by the executive committee and approved by all members in a general meeting.
7.3 auditing of group funds
The auditor shall be appointed for the following year by the annual general meeting from among members of the group. All the group accounts, records and documents shall be opened to the inspection of the auditor at any time The treasurer shall produce an account of his/her receipts , payments and statements of assets and liabilities made up to date which shall not be less than four weeks and not for more than eight weeks before the date of annual general meeting. The Auditor shall examine such annual accounts and statements and either satisfy that they are correct ,duly vouched and in accordance with the law or report to the group in what respect they are found to be incorrect, unvouched or not accordance with the law. The group’s books for accounts will open for self-audit by group members and external audits by any other responsible authority. 7.4 Utilization of funds Resource mobilizer shall be remunerated from the sourced group finances an agreed amount from the members in the general meeting. 8.0 GROUP ASSETS Group assets shall be under the resource mobilizer committee and they shall be answerable to the executive. Only upon voluntary desolation of the group by all the members, the assets can be sold, and money divided into members as per shareholding in the group assets. 9.0 GROUP MEETINGS There will be group meetings as follows a) Executive Committee Meeting This will involve all office bearers to the concerning issues of the group as would always be appropriate and in the spirit of the group objectives. b) General Meeting The type of meeting will involve all members of the group and will be held weekly as agreed by the members to discuss the progress of the group, major decisions of the group will be decided in the general meetings. c) Emergency meeting/impromptu meetings This will be convened without any prior arrangement depending on the need and urgency of such a meeting. d) Annual General Meeting This will involve all members of the group and will be held at the end month of the year cycle to conduct sharing of dividends, discuss the downfalls and the starting point of the New Year as per the progress of the group. Each member will know his/her achievements ,sharing procedures and general of the year decisions, commitments ,promises and general group guidance and counselling will be made and other reports 10.0 ELECTIONS Elections shall be held after two years during a general meeting .A by –election can be held in case there is vacancy in any post before general election period for whatsoever reason. a) Eligibility to vote: All members are eligible to vote if is of sound mind and sober during office bearers are eligible for re-election if the members deem it fit for any of them to continue serving for more terms. B) Method of voting secret ballot c) Supervision of elections: A supervision who is not a member of the group will be sleeked to conduct elections to ensure free and fair elections for members. This individual must be of high dignity and respected member in the society. He/she must have be of high dignity and respected member in the society. d) Notice of elections: election Day shall be announced by the secretary one month earlier to members during general meeting. c) Reading and confirmation of election results: Election results shall be announced on the same day of elections by the supervisor of the election Incase of disputes, the advisory committee shall resolve the matter within six days and report back in the next general meeting on the resolution made. f) Transitional procedure relating to elections: transition shall be done two weeks after election to allow the serving office bearers hand over a clear records of financial reports and group activities including change of bank signatories 11.0 Amendment of this constitution The constitution shall be supreme law of Junction Stage B Self Help Group regulation inconsistent with it shall be null and avoid to extent of inconsistency subject to the provision of government Act Any amendments to this construction of the group must be done at once a year and approved by at least a two-third majority of members at general meeting of the group and implemented immediately thereafter provided the amendment does not contravene government regulations. -The amendments shall be adopted at the start of the new year (cycle) 11.0 DISSOLUTION OF THE GROUP AND PROCEDURES This group shall not be dissolved except by a resolution passed at general meeting of members by a vote of two- third of the members. If no quorum is obtained, the proposal to dissolve the group shall be submitted to a further general meeting, which shall be held within calendar month. Notice of this meeting shall be given to members of the group at least 14 days before the date of the meeting .The quorum for this second meeting shall be number of members. Provided, however, that no dissolution shall be affected without the prior consent in writing of the official (S) in the Relevant Government Department, obtained upon application to him/her made in writing and signed by three office bearers. When the relevant Government Department has approved the dissolution of the group, no further action shall be taken by the executive committee or any other officer of the group in connection with aims of the group other than to get in and liquidate all the assets /liabilities of the group. Appropriation of assets /liabilities The balance thereof shall be distributed in such other manner as may be resolved by the meeting at which the resolution for dissolution is passed 12.0 GROUP RULES AND REGULATIONS All members shall attend the meeting as per the scheduled time. Any lateness will be penalized ksh 50. A member who will miss the meeting without permission will pay ksh 200.Any member who wants to Miss General meeting with genuine reason should ask for permission /call/send another member before the meeting. Three consecutive months absenteeism without apology will be fined ksh 500 or discontinued. All members should respect one another regardless of sex or ethnic language group. Any disturbances, phones on, googling and talking without chairperson’s permission will be fined ksh 20 Any abusive language during the meeting or any member who will disclose the discussion of the meeting to a non-member will be penalized ksh 100 The group shall give loans to any member but only according to his/her savings i.e. Two (2) times the members share. Loan will be paid per month or a maximum of three months with an interest of ksh 10% per month. In case a member defaults his/her loan, the shares will be used to offset the loan ,and the introducing member shall also be deducted his/her shares to cover the arrears .The group shall have the mandate to take anything worth the loan from his/her home in case he fails to obey the command /notice of the group. A member will not accept to pay the penalties, his/her share will be deducted to pay for the penalties Each member shall contribute 200/= towards the education awareness activity if a member’s child proceeds to university or college for the first time. The member must present to the group the duly stamped admission letter of his/her child to be supported. A member can only benefit from this once Each member will contribute ksh 400 towards baby shower to group members. In case of death of a member in the nuclear) family (below18 years, each individual will contribute ksh 300 to the family. A member who fails to save his/her weekly savings shall be fined ksh 100 daily and ksh 50 for late payment Loan repayment deadline shall be determined by all group members, once agreed it shall be the last date of payment and no other date shall be set. Share out of the group shares and dividends shall take place a day after the final loan payment. N.B: ANY MEMBER who will not obey this rules and will be considered an independent party. The rules will be regularly reviewed and changes can be made.
