AN AGREEMENT is made dated this 17th day of July 2012

Between
YOGESWAREN A/L VENGADALA (I/C No: 840101-08-5747) (hereinafter

referred to as the Employee) of the one part
And
TELEFLEX MEDICAL SDN. BHD., a company incorporated in Malaysia and having its
registered office at c/o Plantation Agencies Sdn. Bhd., Standard Chartered Bank
Chambers, Jalan Pantai, Penang (hereinafter called the Company) of the other part.
WHEREAS the Company has agreed to send the Employee who is a Regulatory
Affairs Executive since 1st July 2011 for training entitles Competency Development
Program in MedTech (hereinafter referred to as the Training).
WHEREAS the Company will provide the training fees (hereinafter referred to as the
Expenses).
WHEREAS in consideration of the premises the Employee has agreed to enter into
this Agreement upon the terms and conditions hereinafter appearing.
NOW IT IS HEREBY AGREED AS FOLLOWS:1.
The Employee shall during such period of attending the Training diligently apply
himself to the Training and conform to such regulations and disciplines as may
be in force with respect to the same.
2.
The Employee shall not divulge to any person or persons any trade secrets,
copyright materials, operational procedures, methods, know hows, techniques
and processes, any information concerning the business affairs or finances or
strategies, any confidential report or research commissioned by or on behalf of
the Company or any of its respective clients in connection with the business or
affairs of the Company or its subsidiary companies or any other information
confidential to the Company or its subsidiary companies, suppliers or clients.

The Company shall pay the Expenses for the Training.
4.
Upon completion of the Training, the Employee covenants and undertakes to

serve the Company for a period of minimum two (2) years (hereinafter referred
to as the Contract Period). The Contract Period commences accordingly
from the completion of the Training.
5.
Upon the Company ascertaining the total Expenses incurred by the Company
for the Training (hereinafter referred to as Total Expenses) the Company
shall attach a statement setting out the Total Expenses (hereinafter referred to
as Statement of Expenses). The Statement of Expenses shall be
conclusive for the purpose of this Agreement to determine the Total Expenses.

The Employee further covenants with the Company:

(a)
that he will diligently complete the Training within the specific duration
as per brochures;
(b)
that he will not during the Training engage in any activity which the
Company considers not to be in the Employees interest in relation to
the Company;
(c)
that he will during the Training comply with such instructions as directed
by the Company;
(d)
that he will continue his current job as Regulatory Affairs Executive

during the period of Training;
(e)
that he will not enter into any other agreement for employment with
another party for so long as this agreement remains valid.
The Company has the right to revoke or terminate this Agreement if at any time
during the Training the Employee is guilty of any of the following:(i)
(ii)
(iii)
(iv)
Misconduct;
Engaging in unauthorized activities resulting in activities that in the
discretion of the Company are inconsistent with the purpose of the
Training;
Abandons the Training before the completion thereof;
Any breach by the Employee of any of the provisions of this Agreement.
In such circumstances, the Employee shall cease to have any claim to any
benefits of this Agreement and shall be liable to pay agreed liquidated
damages being a sum equivalent to the Total Expenses.
8.
The Employee agrees with the Company that if the Employee shall resign or
leave the service of the Company before the expiration of the Contract Period,
then in any case the Employee shall be liable to pay the Company agreed
liquidated damages being a sum equivalent to the Total Expenses.
9.
Any payment which the Employee is liable to pay to the Company under this
Agreement shall be paid within two (2) weeks from the date of written notice by
the Company to the Employee demanding payment. A notice sent to the
Employees last known address by registered post shall be deemed to be
sufficient.
10.
The valid construction or performance of this Agreement shall be governed by

Malaysian law. All disputes claims proceedings between the parties relating to
the validity, construction, performance of this Agreement shall be subject to the
non-exclusive jurisdiction of the courts in Malaysia.

11.
In this Agreement where the text so admits:(a)
The expression the Company includes persons deriving title under it

and its successors in title and assigns.
(b)
Words importing the singular number include the plural and vice versa
and words importing the masculine gender shall be deemed to include
the feminine gender.
(c)
The expression the Employee includes the personal representatives of

the Employee.
