A. PHASE-I – Feasibility

1. Project risks and risk matrix

(a) Review applicable laws to evaluate project risks.


(b) Provide risk assessment and mitigation analysis.
(c) Develop a risk matrix illustrating an equitable attribution of risk between the project stakeholders.

2. Legal Viability Assessment


(a) Conduct a detailed review and due diligence of the laws applicable to the project (provincial and federal).
(b) Study and propose various models of PPP to carry out the subject project, covering all legal, organizational,
technical, environmental, social and financial implications.
(c) Advice regarding the best suited PPP structure.
(d) Prepare a list of the consents required (District, Provincial and Federal).
(e) Prepare an indicative timeline for obtaining the relevant consents and the list of documents and particulars
required from the stakeholders in relation to the same.
(f) Draft bills, rules and regulations in relation to the project if the same is required.

B. PHASE II- Bid Management

1. Procurement Package and Issuance of Bid Documents

(a) Prepare the bidding documents, including the Notice for pre-qualification, the pre-qualification criteria, the
prequalification documents, the RFP, the concession agreements and the information memorandum for the
bidders.
(b) Assist in issuance of the aforementioned bidding documents in accordance with the SPPRA rules and other
applicable laws.
(c) Prepare presentations and provide write-ups regarding the proposed PPP structure to the PPP Policy Board
for necessary approvals and present the same, if required
(d) Assist in responding to bidder queries and attend any pre-bid meetings, to address bidder concerns.
(e) Consider bidder feedback and advice regarding the feedback which should be incorporated.
(f) Assist in evaluating the bids, including the legal capability of the bidders.
(g) Prepare and present the bid evaluation outcomes to the technical & financial evaluation committee for
necessary approvals.
(h) Assist in preparing and issuing the Bid Evaluation Report.

2. Issuance of Letter of award/ acceptance

(a) Prepare report on the procurement outcomes and the project structure to submit to the PPP Policy Board
for approval.
(b) Assist in issuance of the letter of award to the preferred bidder.

C. PHASE III-Transaction Negotiation & Financial Closure
