    MEMORANDUM OF AGREEMENT

    KNOW ALL MEN BY THESE PRESENTS

    This Memorandum of Agreement entered into in Ceby City, Philippines by and between.

    INTERNATIONAL INSTITUTE OF TECHNOLOGY AND MANAGEMENT-CEBU, INC., a corporation


    duly recognized and validly existing under Philippines laws, with principal office at Tango Plaza Bldg. Queen’s
    Road Kamputhaw Cebu City, Philippines herein represent by its School Administrator, Mr. Porferio Q. Hortelano,
    herein referred to as “IITMC-CI”.

    And

    ________________________________________, a duly licensed Doctor and a resident of ________________ and


    herein referred to as “DOCTOR”.

    WITNESSETH

    WHEREAS, IITM-CI needs the nursing services to be able to render full student services in its Technical Programs;

    WHERE AS, the DOCTOR will provide the said nursing services of the technical students and regular employees of
    IITM-CI;

    NOW THEREFORE, the parties agree as follows:

    1. The DOCTOR will provide the following nursing services free of charge to IITM-CI’s Technical Students
    and Regular employees:

    a. Performs promotive and preventive nursing care such as takes the vital signs of the employee and
    students who will visit the clinic;

    b. Regularly monitors the weight and height of the employees & students;

    c. Conducts health education/health teaching considering the needs identified after assessing the
    employees and students;

    d. Conducts home visit to an employee after hospital discharge;

    e. Performs first aid during emergency situation that may happen within school campus;

    f. Performs pre-natal check up to any pregnant employee/student;

    g. Follow-up and monitor employee/student with diagnosed medical or surgical problem.

    2. These nursing services shall be performed by the DOCTOR at the school clinic only. An alternate nurse
    shall be made available to the employees in case of the DOCTOR’s absence.
    3. The DOCTOR shall render the said nursing services 5 hours/week, Monday to Friday at 3-4 pm.
    4. For and in consideration of the above services the DOCTOR shall receive a monthly retainer’s fee in the
    amount of THREE THOUSAND PESOS (Php 3,000.00) net of all government taxes.
    5. The DOCTOR hereby warrants that all complete accessories, equipment and instruments is shall supply
    pursuant to this agreement are safe, clean, sanitary and comply with all standards and requirements set by
    the Department of Health and other pertinent government agencies.
    Failure on the part of the DOCTOR to comply with this provision shall be a ground to terminate this
    Agreement, without prejudice to the right of IITM-CI to institute the necessary legal action/s against the
    DOCTOR to fully protect its interest under the law.

    6. The DOCTOR shall hold IITM-CI free and harmless from any damage, liability, cost, loss or penalty
    arising directly or indirectly either from the DOCTOR’s acts of omissions or IITM-CI’s breach of any
    obligations imposed or sought to be imposed by or in accordance with this Agreement.
