PREAMBLE
We the parents, guardians and teachers of students enrolled at Happy Hollow
National High School in our common desire to safeguard and promote the
education, civic, social, and moral upbringing of our youth and make them law-
abiding, productive, peace -making, free members of humanity, do hereby form
ourselves into an association dedicated to the progressive pursuit of this aspiration
and promulgate this Constitution and By-Laws.

RIGHTS AND OBLIGATIONS OF REGULAR MEMBERS
Section 5. RIGHTS OF REGULAR MEMBERS
a.) To participate in all activities, meetings of the association.
b.) To vote and be voted upon to any position in the
association for any position.
c.) To be posted and informed of the activities,
programs, resolutions, and undertakings of the association.
d.) To inspect and examine the books, accounts, and
projects of the association, and the minutes of its meetings
of the association of the board within reasonable hours of
the day during school days.
e.) To bear and wear the name, logo, uniform, or
identification card of the association subject to
reasonable guidelines as maybe provided by the board.
Section 6. OBLIGATIONS OF REGULAR MEMBERS
a.) To know the provisions of the constitutions and By-Laws of
the DMMES PTA association.
b.) To faithfully attend meetings of the association upon due
notice.
c.) To observe punctuality in attending such meetings.
d.) To abide by the will of the majority.
e.) To protect the name and integrity of the association.
f.) To endeavor, to create, and to preserve such harmony
and fraternal feeling among members in order to achieve
its purpose and objectives through concerted efforts.
g.) To report to the general membership any anomaly that he
may discovering the business or activities of the
association.
h.) To religiously settle all obligations due to the association
and to pay whatever reasonable and necessary dues that
may from time to time be imposed by the association for
the accomplishment of urgent needs of studently as a
whole.
i.) To cooperate with the school authorities and teachers in the

improvement of the school and the students, and;
j.) To cast vote in the election of officers of the component
parts of the association called for the purpose.
ARTICLE IV
GOVERNANCE F THE ASOCIATION
Section 7. EXECUTIVE BOARD. The executive Board (hereinafter to simply
as Board) shall be the policy making body of the association. It shall have the
general administration and management of the affairs of the association, as well
as the general supervision and control over its properties and funds.
Section 9. TERM OF OFFICE. The members of the Executive shall serve for
a term of TWO (2) years or until their successors shall have been duly elected
and qualified.

a.) PRESIDENT - The president shall be the Chief Executive Officer of the
Association. He /She shall preside at all meetings of the Board and at all
general membership meetings. He/ She shall represent the association in
whatever undertakings where its participation is necessary, including, but
not limited to, representation in the federation of PTA’s of Baguio City. He/
She shall countersign checks withdrawal slips drawn against the
association’s depository banks. He/ She shall sign all contracts pertaining to
the affairs of the association.
b.) VICE-PRESIDENT - In the absence or incapacity of the president, he/she
shall perform the duties of the President. He /She is automatically the
chairman of the FUND MANAGEMENT COMMITTEE. He/ She shall
perform such other duties assigned to him/her by the President or by the
Board.
c.) SECRETARY- He/ She shall attend all meetings of the board as well as
general membership meetings. He/ She shall keep records of all the
proceedings in such meetings specially minutes of meetings, prepare and
maintain a general membership roll and perform such other duties as may be
assigned to him/ her by the president or by the board.
d) ASSISTANT SECRETARY - He/ She shall assist the secretary in
the performance of his/her mandated functions. He/ She shall

shall not in any way be considered as signatory in the disbursement of checks
and withdrawal slips.
g) PUBLIC RELATIONS OFFICER - He/ She shall be the public and
press as well as the propaganda officer and perform other duties assigned by the
board.
h) AUDITOR - Acts as the auditing and accounting officer of the association
and perform other duties as the board may from time to time assign.
i) BUSINESS MANAGER - Think and plan undertakings that would
enhance the financial business conditions of the association. He/ She shall act as
the disturbing officer of the association, receiving such funds from the treasurer
and shall submit a report on the liquidation of such funds during regular board
meetings. He/ She shall serve as the Chairman of the project Development
Committee.
ARTICLE V
Section 14. TENURE OF PTA OFFICERS. The officers of the Board and all
component unit is of the PTAI down to homeroom level PTA shall serve for a
period of TWO (2) years from the date of assumption of office or until their
successors shall have been elected.

Section 16, ELEGIBILITY FOR ELECTION
a) Only duly elected homeroom PTA Presidents are eligible for election to
he/she Year Level PTA Board in a special election immediately following the
election of homeroom PTA Officers.
b) Only the duly elected Presidents and Vice-Presidents of the Year
Level/Special program PTA Boards are eligible for election to the executive
board.
Section 18. FISCAL YEAR. The Fiscal Year of the Association shall be from
July 1 to June 30 of the following year.

EXPULSION AND REMOVAL
Section 20. EXPULSION AND REMOVAL. Any member or officer may be
expelled/removed for cause by a majority vote of all members of the association
present and voting. Absence without justifiable causes for
THREE(3)consecutive meetings by any officer of the Board where his presence

is required shall be sufficient grounds for his removal by a majority vote of the
Board.
ARTICLE VIII
MEETNGS AND QOUROMS
Section 21. GENERAL MEMBERSHIP MEETINGS. The association shall
hold an annual general membership at the DMMES HALL on any suitable day
at the month of August or as need arises.
Section 22. SPECIAL MEETINGS. The association may hold special
meetings whenever necessary which shall be determined by the Board or upon a
written petition of at least 5% of the total membership.
Section 23. EXECUTIVE BOARD MEETING. The board shall meet at least
once a month at a time and date it may deem appropriate. Special Board
meetings may be called by the president whenever the need arises or upon a
formal or oral request of at least THREE(3) members of the Board.
Section 24. QUOROM
a) A simple majority of members present during a general membership meeting
shall be sufficient to carry the vote on any issues or concerns brought before the
members.
b) For the Year Level and Executive Board a majority of all members of said
boards shall constitute a quorum.
ARTICLE IX
COMMITTEES
Section 25. STANDING COMMITTEES. The Board shall create the
following standing committees, whose respective powers, prerogatives,
functions and duties and responsibilities shall be defined by the Board.
a) Project Development Committee
b) Health, Safety and Social Welfare Committee
c) Fund Development Committee
d) Election Committee

e) Grievance Committee
f) Ethics and Values Committee
g) Legal Committee
h) Advisory Board
Section 26. QUALIFICATION OFCOMMITEE MEMBERS.
a) Any PTA Member in good standing
b) Willing to sign a commitment to serve
c)Meets any other reasonable qualifications provided by the Board
Section 27. TENURE OF COMMITTEE MEMBERS. Unless otherwise
provided, the members of the Committees shall serve a term of TWO (2) years.

HOMEROOM AND YEAR LEVEL ORGANIZATION

g) To perform such other functions and duties as may be assigned to them by
the Executive Board.
ARTICLE XI
ADVISORY BOARD
Section 30. ADVISORY BOARD. There shall be an advisory board to assist
the Executive Board in laying out its programs, policies and functions.
Section 31. PRIMARY ADVISER. The Principal of DMMES shall be primary
adviser of the association.
Section 32. COMPOSITION. The Advisory Board shall be composed of all
Past Presidents of the association, the president of the alumni association
and the president of the faculty club.
Section 33. POWERS, AND FUNCTIONS. The members of the Advisory
Board shall be invited to attend meetings of the Executive Board, provided
however that their number shall not be considered in determining a quorum of
the meeting. While, they should be actively participating in the deliberations,
they shall not be allowed to vote.
ARTICLE XII
FUNDS
Section 34. PTA MEMBERSHIP FEES. There shall be paid by each regular
member, an annual PTA fee to be determined by the Board in a meeting be held
before the end of the school year and approved in a General Assembly. PTA
membership fees shall be paid on a parent basis.
ARTICLE XIII
CESSATION OF MEMBERSHIP
Section 35. PARENT/GUARDIAN. The regular membership of
parents/guardians shall automatically cease when in a given school year, he/she
has no child/ward enrolled in the school.
ARTICLE XIV
AMMANDMETS

Section 36. MODE OF AMENDMENTS. The Board may propose
amendments to any provisions of this Constitution and By-Laws in a meeting
duly called for the purpose, and to be submitted to the general membership for
ratification.
Section 37. RATIFICATION. Any approved amendments by the Board shall
be submitted to the general membership for ratification, either through a general
membership called for the purpose of referendum through questionnaires.
If a general meeting is called for the purpose, a simple majority of the members
present shall be sufficient to ratify he amendments, whereas if it is through a
referendum, a simple majority of e general membership shall be necessary to
make the ratification.
ARTICLE XV
EFFECTIVITY
Section 38. EFFECTIVITY. The amended Constitution and By-Laws shall
take effect immediately upon ratification thereof by the general membership.
