Dear Sir/Madam,

Sub:
Silver Annual Maintenance Contract of Usha Passenger Elevator

We furnish herewith our Proposal for the Silver Annual Maintenance Contract (“Contract”) for
renewal as on date for your reference. Under this Contract, the elevator equipment herein
described shall be maintained on the following terms and conditions:

1) Annexure A annexed hereto details the scope of work that is covered under this Contract.

2) The elevator will be serviced once in 45 days and reasonable care will be taken to maintain
the elevator in proper and safe operating conditions. An additional grace period of 5 to 7
working days shall be provided for servicing, in case of any unforeseen delays. We
shall provide you prior information in case service is delayed beyond 45 days.

3) During the period of servicing, the elevator will not be available for use. A sweeper is to
be provided for cleaning the lift pit and hoist way when required under the assistance and
supervision of our engineer at site.

4) During the period of servicing we will clean, check and lubricate guide rails, gates/doors,
controllers, motor, break and safeties and reasonable care will be taken to keep them
electrically and mechanically adjusted as per our standard operating procedure.

5) We will supply the necessary lubricants. However, if applicable, as and when the gear box
and motor bearings have to be flushed, cleaned and replaced with fresh lubricating oil, the
same will be charged to you extra on actuals.

6) It is agreed that we do not assume possession or control of any part of the equipment, and
such equipment remains yours exclusively as the owner (or lessee) thereof. We shall not be
liable for any loss, damage or delay due to any cause beyond our reasonable control
including but not limited to acts of government, civil commotion, war, malicious mischief
or act of God. Under no circumstances, shall we be liable for any consequential damage.

7) Any insurance / lift inspectorate examinations will be chargeable extra.

8) Your authorized representative shall be required to sign the maintenance report.

9) The payments required to be made towards the services rendered under this Contract and the
payment terms thereof shall be as per Annexure B.

10) Supply and fitting of spares, including repairs will be charged extra at our usual rates. 80%
advance will have to be paid for all replacement/repairs, for any payments due above
Rs.500/-. In the event prior approval is required for executing such repairs, the elevator will
be kept shut down until such period approval is granted and repair is completed.

11) We shall not be made to install new attachments on the elevator, whether or not
recommended or directed by insurance companies or governmental bodies or flat
owners/occupants nor enter into any correspondence / clarifications by insurance
companies, governmental authorities or any contract manufacturer pertaining to this
Contract. We shall not adhere to such request under any circumstances.

12) Care should be taken to prevent water from falling on any part of the elevator machine
room, elevator shaft and pit in order to prevent burnout and damage to the equipment. It
shall be the sole responsibility of the owner (or lessee) to protect the elevator from any
such damage.

13) Necessary steps should be taken to prevent unauthorized persons from entering the
machine room or lift shaft to avoid tampering with the lift. The machine room should be
kept locked. We shall not be responsible under any circumstances for any damage or loss
caused by an unauthorized person.

14) We shall brief you sufficiently on precautionary measures. However, we shall not be liable
for any mishap, if any, on the lift due to negligence or misuse by the users/occupants. Any
damage or loss owing to the same shall not be covered under the scope of this Contract.

15) The Contract will be valid for a period of one year. Either party may terminate this
Contract at the end of the year by giving the other party (90) day’s period written notice.
The amount paid towards the Contract is non-refundable.

16) Our offer is valid for a period of one month from the date of proposal thereafter it will be
subject to our confirmation.

17) Any existing component failure will not be considered towards coverage and shall be
replaced on chargeable basis.

18) Modification of elevator as per the client requirements will be chargeable extra at actuals.

19) In no event or under no circumstances shall Usha Elevators’ aggregate liability arising out
of or related to this Contract, whether arising out of or related to breach of contract, tort
(including negligence) or otherwise, exceed the annual charge paid to and received by
Usha Elevators under this Contract.

20) Engaging a third-party vendor to undertake any maintenance or repair services will lead to
termination of this Contract as it is deemed to be a major safety concern. We shall
thereafter have no obligations or liabilities subsisting under this Contract.

21) This Contract shall not cover any work related to repair or maintenance of main switch in
the machine room, replacing fuses, shaft lights, tubes, fans, or any other electric problems
etc., as it falls within the scope of client’s responsibility.

ANNEXURE A
Scope of Work

A. Under this Contract we shall undertake the following services as a part of the Non-
Comprehensive Annual Maintenance:

1. Preventive maintenance activities scheduled for regular interval of time.


2. Breakdown assistance
3. Oil and Lubrication
4. Rescue Training

B. Exclusions to the Non- Comprehensive Annual Maintenance:

1. Repair or Replacement of any components will be chargeable extra as per actual rates.
2. Shaft Lights, Tube lights in Machine room and any electrical work not related to the
elevator is not under our scope of work.

ANNEXURE B - TERMS OF PAYMENT:

The one year charges for one elevator is Rs. 25,650/- (Rupees Twenty Five Thousand Six
Hundred and Fifty Only) inclusive of 18% GST payable in advance. The maintenance
agreement will be effective on receipt of above-mentioned payment.

Rs. 21,737/- Rs. 3,913/- Rs. 25,650/-

1. We reserve the right to suspend call back service and/or discontinue any other work under this
Contract or any other contract until all outstanding payments due are to be made to us as agreed
and we are assured that subsequent payments will be made as and when they fall due. Any payment
not made on due date shall bear interest at 20% per month, calculated from each due date.

2. Kindly make the cheque payments in favor of Usha Elevators Pvt. Ltd.
3. Please don’t allow any unauthorized person to enter the machine room. Please check the
identity card before allowing.

5. Cheque Bouncing Charges will be chargeable extra of Rs.1,000/- (Rupees one thousand only)
