‘SUPERINTENDENT EMPLOYMENT AGREEMENT THIS AGREEMENT is made by and between the Milwaukee Board of School Directors (etna, the “Hoard and Dr: Keith Posey (hersinaer, the “Superintndent) WHEREAS, the Board, ating pursuant wo Wis, Sta. §§ 11824(1) and (6) and 119.32(1, and its rules, vood at its mecting on April 12, 2018, to elect Dr. Keith Posley to be interim Superintendent of Schools of the Milwaukee Public School District (hereinafter, “Miwaukee Publi Schools or “MPS” or the “Distt and WHEREAS, Dr. Keith Posley assumed the position of interim Superintendent of Schools ‘on May 21, 2018, in cordance withthe terms and conditions of the Interim Superintendent Employment Agreement dated Apel 17,2018; and WHEREAS, the Boar, ctng pursuant to Wis. Sat. §§ 118, 24(1) and (6) and 119.32(1), and is rules, voted atts mestng on October 9, 2018, t elect Dr Keith Psley tthe position of Supesintndent of Schools; and WHEREAS, Dr. Keith Posty fas agreed to assume the position of Superintendent of Schools in asordance withthe terms and conditions ofthis Agreement and all applicable las ann Board rules NOW, THEREFORE, in consideration of the promises contsned herein, the partes mutually agree as fllows: 1. TERM OF AGREEMENT, EXTENSION, AMENDMENT, AND TERMINATION. 11 TERM AND EXTENSION. The terms ofthis Agreement may be amended oF renewed al any time upon majority vote Of the Board and agreement of the Superintendent, Ata minimum, the Board shall provide notice ‘o the Superintendent of renewal or non-renewal ofthis Agreement as required by Wis. Sta. 118.24(6) or any amendments thereto. TERMINATION. This Agreement may be terminated for any of the following reasons: 1.3.1, BY MUTUAL CONSENT. ‘he partes may terminate this Agreement at "any time upon such terms as the parties may agree 10 in writing. 1.32, BY BOARD FOR CAUSE. ‘The Board may terminate this Agroement at ny time “for cause” in accordance with Wis. Stat, § 119.36, or any tumendments thereto, In addition, the Board terminate his Agreement at anytime *for cause” forthe Superintendents failure to make adequate ‘progres, in the Board's judgment, toward meeting reasonable goals and ‘objectives purstant to Section 3 ofthis Agreement 13.3. BY BOARD WITHOUT CAUSE, The Board may unilaterally terminate this Agreement by providing ninety (00) days writen notice to the Superintendent; however, the Board may, at its option, relieve the Superintendent of his duties without noes, or at any point ding the notice period, by providing pay in lieu of notice (PILON) to the 2ofls ‘Superintendent Employment Agreement Keith Postey Qetober 19, 2018 A Supeintendem a his per diem base salary for any such portion of the notice period tat falls short of 90 days. Under this paragraph 1.3.3, the totice petiod is solely to the benefit of the Superintendent, and the Superintendent may, at is option, relate himself from performance under this Agreement at any point during the notie period by providing writen notification to the Board President. The Agreement shall be deemed terminated under this paragraph 1.33., by the Board on (1) the date during the notice period tha the Superintendent releases himself ftom performance under this Agreement, or (2) the end of the notice period, whichever occurs first, The Superintendent shall also be entitled to severance pay of twelve (12) months base salary when terminated under this paragraph 1.3.3. ‘TERMINATION DUE TO CHANGE IN MPS GOVERNANCE STRUCTURE. In the event the governance structure of Milwaukee Public Schools changes due to action by the Wisconsin Leyistarre resulting in the dismissal of the Superintendent during the term of this, ‘Agreement, the Board shall buy out the remaining term of this Agreement at the then per diem base salary. S. TERMINATION BY DEATH OF SUPERINTENDENT. — This ‘Agreement shall terminate upon the death of the Superintendent TERMINAL BENEFITS. Folloviing termination or the end of this ‘Agreement for any reason, the Superintendent, or the Superintendent's estate inthe event of the Superintendent's death, shall be entitled to: (@) ‘any eared, but unpaid base salary due at the time of the termination ofthe ‘Agreement; and (b) any vested retirement, oorued fax sheltered annuity and vested benefit, including personal and vacation days hereunder. 2 COMPENSATION. The Superintendent shall receive a base salary of two hundred fifty-two thousand dollars ($252,000.00) per annum under this Agreement, payable in ‘caval installments in aecordance with Board rules governing payment to other fll time professional sta? members in MPS. sors Superintendent Employment Agreement Keith Posley October 19, 2018 3. PERFORMANCE REVIEW. The regular and meaningful review of the Superintendents performance is an important tool for the Boanl and its management of the Disteit and oversight ofthe Superintendent MM Annually, by June 30 of each year under this Agreement, the Board shall evaluate the performance of the Superintendent using an evaluation form and process established by the Board. By December 21, 2018, the Board and Superintendent shall meet to discuss and agree upon the goals and objectives for the evaluation of the Superintendent's performance for the period of October 19, 2018, through June 30, 2019, Thereafter, the Board and Superintendent shall meet annually, 0 calier than May 1 and no later than June 30, to diseuss and agree upon the goals and objectives for the evaluation for the succeeding school (fiscal) year. ‘The agreed-upon goals andl objectives will be derived fiom the MPS Strategie Plan ‘The annual performance review shall substantially adhere tothe following 3.11, The Board may request periodic reports andlor presentations by the Superintendent, but not ess than quarterly, concerning the Superintendent's accomplishments and attainment of the agreed-upon oals and objectives to fully assist the Board in its evaluation of the ‘Superintendent. This paragraph does not restrict or prohibit the regular and open communica sn between the Board and the Superintendent pursuant to Section § below. 3.1.2. The Board President, shall have overall responsibility for completing the evaluation form on behalf ofthe Board 344. By June 30 ofeach year under this Agreement, the Boar shall provide the Supesintendeat with « copy of the completed evaustion form, The Supesntendnt shall have the right to respond to the Board's writen evaluation either orally orn waiting ‘The Board may, at its option, also conduct mid-year evaluations of the Superintendent's performance, 4. SUPERINTENDENT POWERS AND DUTIES. The Superintendent shall serve as the chief executive officer and educational leader of the Milwaukee Public Schools, and as such shall devote his ful time, attention, knowledge, and skill as necessary to accomplish in an effective and professional manner the duties and responsibilities of the Office of Superintendent. The Superintendent's duties shall include, but shall not be limited to, those duties ofthe Superintendent as set forth in Wisconsin la, in the Board’s Rules and GoFs Superintendent Employment Agreement Ke th Posley October 19, 2018 Governance Policies, in Administrative Policies and Procedures approved by the Board, and in the MPS Employee Handbook. To the extent not inconsistent with State law or ‘Board policies, these duties shall include: Directing the day-today administration and super ofties; Planning, implementing, and evaluating programs concerning the organizational, ‘operational, fiscal, and educational functions of MPS; Refining and revising, in collaboration with the Board, a strategie plan for MPS and implementing snd evaluating that plan; Instituting reforms and systemic changes, such as curriculum and program offerings, as the Superintendent finds necessary or expedient in order to effectuate positive changes in MPS; Developing and implementing a program of professional development that the Superintendent finds necessary to effectuate positive change in MPS; Providing for students to have equitable access 0 appropriate educational ly with the Office of Board Governance to effectuate positive change in MPS: Organizing and reorganizing the administrative and supervisory stall of MPS, inching instruction and business as, asthe Superintendent finds necessary ‘or expedient in order to alfect positive changes in MPS; Tors Superintendent Employment Agreement Keith Posley October 19, 2018 Selecting, placing ansfervng, evaluating, and dismissing insiutional and non: instructional personnel; Assuming. responsibility for the overall Finacial plaaning of the Distict, inching the preparation ofthe anal budget nthe simsin of the budget to the Board for review and approval Establishing and implementing efficient procedures and effective contols of expenditures for all MPS Funds in accordance with the adopted budget; Maintaining records for MPS, including a system of financial accounts, business anv property records, and personel and student record, a required by lw ad Boa poi Recommending policies and procedures to the Board and reasonably interproing anv implementing polices and procedures adopted by the Boar, Developing and implementing regulations, procedures, and rules, as the Superintendent deems necessary for the efficient and effective operation of MPS; Serving as the offical spokesperson for MPS in providing information tothe Beard, MPS employes, the community, and ouside groups and agencies Making recommendations on items of business considered by the Board, asthe Superintendent deems necessary forthe efisient and effective operation of MPS; Establishing and implementing @ proces, including both means and time poramcers, for kecping the Board yp-owdate on developments, iniaives, and issues in MPS; softs ‘Superintendent Employment Agreement Keith Posley Getober 19, 2018 Attending all regula, special, and executive sessions of the Board and serving 2s an ex officio member on any and all Board committees and subcommittees; and Seeking legal advie from the City Attomey's Office as the Superintendent dooms necessary, S. BOARD/ SUPERINTENDENT COMMUNICATIONS. sa 52 ‘The Board and the Superintendent agree that they shall work with each fer in the spirit of cooperation and teamwork, and shall provide each other with periodic opportunities to discuss Board Superintendent rlatonships and communications Consistent with Board policies, including Board Governance Policy 2.04, the Board, individually and collectively, shall promptly refer to the Superintendent ‘orally oF in writing, for study and recommendation, any and all enticisms, complaints, suggestions, communications, or comments regarding the Superintendent's performance of assigned duties. Individual Board members scting on their own will not give diection to the Superintendent or any staf member regarding the management of the District or the solution of specific problems and shall refer all personnel appeals, complaints, and other communications concerning the administration of the District to the dent dent for investigation and report © the Doard. The Supt Supe shall share with the Board, as appropriate, criticisms, complaints, and suggestions coneering the District that may come tothe Superintendent’ attention, sorts Superintendent Employment Agreement Keith Posley October 19, 2018 6 BENEFITS AND EXPENSES. 6A 62 63 64 BENEFITS, Except as otherwise expresed_ in this Agreement, the Superintendent shall receive the same level of life, disability, dental and heath coverage, pension, and such other fringe henefts he curently receives a8 a coment MPS employee at the cabinet level all such benefits are subject to ‘modification, change, or elimination under the same terms and conditions as applicable to abinet-level employee benefits. HEALTH MEMBERSHIP. ‘The Board shall reimburse the Superintendent for membership in a fitness facility in the amount of « $50 initial fee and an actions $800 pr year appr JONAL EMPLOYER CONTRIBUTIONS. The Board agrees to contribute the sum of thicy-three thousand dollars ($33,000.00) to the Milwaukee Board of School Directors Executive 405(b) Plan on or shortly afer June 30 of ‘each fiscal year 0 Tong as Dr, Posley is employed as Superintendent forthe centr fiscal year. Any suck 403() plan contibution in any fiscal year shall not «exeeed the permissible legal limit for MPS's contribution; should such legal iit ‘preclude the fll MPS contribution specified, the diference between the specified mount and the permissible limit wil he paid directly to Dr Posley. AUTOMOBILE ALLOWANCE. The Boal shall provide the Superintendent With an automobile allowance of eight hundred dollars ($800) per month, with Which the Superintendent is to pay costs associated with maintaining and wot is Superintendent Employment Agreement Keith Posey October 19, 2018 6s operating his personal automobile, eg, lease or car payments, ol, repairs, and VACATION, SICK AND PERSONAL DAYS. The Superintendent shall earn toenty-five (25) days (or. 200 hours) of paid vacation per year under this Agreement, exclusive of legal holidays recognized by the Boal. The Superintendent may averue up to a maximum of fly (50) days (or, 400 hours) of vacation, which, if not used, will be compensable upon termination of this ‘Agreement at the Superintendent's then applicable per diem base salary. The Superintendent also shall receive ftteen 15) sick leave days per year under this ‘Agreement, which may be accrued and carried forward from year-to-year. Any vacation days or sick leave days the Superintendent had earned and not used uring his employment with MPS prior (0 the start of this Agreement shall be carried over and available for his use upon his assumption of responsibilities Under this Agreement; such carryover vacation days shall count (oward, and be included in the calculation of, the 50-day (400-hour) maximum number of ‘vacation days that he is permitted to accrue under this Agreement. Should the Superintendent carry over more than fifly days, he shall be entitled to keep such ays, but he may not acerue more vacation day unless and until his accrual falls below the 50-day maximum. In addition, the Superintendent shall receive four (4) personal days (miscellaneous days) per year, which days shall not acerue and ‘whieh, if not used, will be compensable atthe end of each fiseal year under ‘Agreement at the then per diem base salary. lofts | | ‘Superintendent Employment Agreement Keith Posley October 19, 2018 66 OTHER REIMBURSABLE EXPENSES. Other actual and necessary expenses incurred by the Superintendent in the course of Distict business shall be subject to reimbursement pursuant to the Board policies with respect to such matters. 7. TECHNOLOGY SUPPORT, MPS shall provide the Superintendent, at Dist xponss wih appropriate technology to ass the Superintendent isthe performance of his duties and responsibilities. These shall include by way of example, # laptop computer, cellar phone, and PDA. ‘The Board shall also provide the Superntnent ‘with computer equipment, fasinile/pine, and associated telecommunications acess to tbe used for working at home, The Board shall pay all expenses associated with the instalation, maintnancs, and upkeep of such esuipment. The equipment stl remain the propety ofthe Hoard and, upon temination ofthis Agreement, sid esuipment shall ‘be returned to the Board, PERMISSIBLE OUTSIDE PROFESSIONAL ACTIVITY. The Superintendent may undertake, with or without compensation, consulting, work, membership on boars of privat corporations, speaking engagements, wing, lecturing, teaching or other professional duies and obligations, provided that such other employment, duties, and obligations neither conflict with devotion to the duties and aor ls ‘Superintendent Employment Agreement Keith Posley October 19, 2018 10, responsibilities of the Superintendent under this Agreement nor violate Wis. Stat. § 946.13, and provided that the Office of Board Govemance is informed of any such activities in advance, PROFESSIONAL DEVELOPMENT AND PROFESSIONAL AND. CIVIC ORGANIZATIONS. The Superintendent shall tend pertinent professional meetings at the loc, sate, and national level. The Bord shal pay o eimburse reasonable expenses associated with said pertinent professional meetings, including. but not limited to membership duss (uch as membership dues for dhe American Association of School Administrators). The Superintendent shall suomi to the Board, within forty-f (45) days of expenditure for said activities, credit card invoices and itemized expense Statements, which the Board shall pay in a timely manner. ‘The Board expects the Superintendent to participate in civic and community organizations and thus shall pay reasonable costs associated with such participation as it relates to serving in the capacity 8 Superintendent. MISCELLANEOUS. u. SEVERABILITY. The terms ofthis Aureoment are independent of and may’ be severed from each other. IF any provision or word of this Agreement is determined hy a court having jursdetion to be void or contrary t fa, sch invalidity shal not affeot the other provisions or wor hereof andthe remainder ‘oF this Agreement shall remain in full force and effet APPLICABLE LAW. Ee a Isor ls FIRST SUPPLEMENT TO THE SUPERINTENDENT EMPLOYMENT AGREEMENT ‘THIS FIRST SUPPLEMENT TO THE SUPERINTENDENT EMPLOYMENT AGREEMENT (“First Supplement”) is made by and between the Milwaukee Board of School Directors (hereinafter, the “Board”) and Dr. Keith P.Posley (hereinafter, “Dr. Posley” or the “Superintendent” WHEREAS, the Board, acting pursuant to Wis. Stat §§ 118.24(1) and (6) and 119.32(1), and its rules, voted at its meeting on October 9, 2018, to elect Dr. Posley to the position of, Supetintendent of Schools; and WHEREAS, Dr. Posley agreed to assume the position of Superintendent of Schools in accontance with all applicable laws, Board rules and policies, and Board-approved administrative policies, procedures, guidelines, and lawful directives, and in accordance with all ther terms and conditions of the Superintendent Employment Agreement (hereinafter, the "Agreement", which was signed and witnessed on October 18, 2019, for a term commencing etober 19, 3019, and continuing through June 30, 2020; and WHEREAS, the Board has conducted an annual performance review of the Superintendent in accordance with Section 3 of the Agreement; and WHEREAS, the Board has voted to approve this First Supplement providing for an extension of the Superintendents term of employment by two years and a 2.44% increase in the Superintendent's base salary NOW, THEREFORE, in consideration of the promises contained herein, the parties mutually agree as follows 1. The terms and conditions of employment specified inthe Agreement shall continue to apply ‘uring the term ofthis First Supplement, excep to the extent this Fist Supplement provides ‘otherwise oto the extent such terms or conditions are inconsistent with the terms or ‘conditions specified inthis First Supplement. 2. Pursuant to Seetion 1.1 ofthe Agreement, the Superintendent's term of employment shall be extended by two years, hereby continuing through June 30, 2022 3. AGREEMENT ("Second Supplement") is made by and between the Milwaukee Board of ‘School Directors (hereinafter, the “Board”) and Dr. Keith P. Posley (hereinafter, the “Superintendent”. WHEREAS, the Board, acting pursuant to Wis. Stat §§ 118.24(1) and (6) and 119.32(1), and its rules, voted at its meating on October 9, 2018, to elect Dr. Keith Posiey to theposition of ‘Superintendent of Schools; and WHEREAS, the Superintendont agroed to assume the positon of Superintendent of Schools in accordance with all applicablo laws, Board rules and polices, and Board approved ‘administrative policies, procedures, guidelines, and lawful directive, and in accordance with all other terms and conditions of the Superintendent Employment Agreement (hereinafter, the “Agreement"), which was signed and witnessed on October 18, 2019, fora term commencing October 1, 2019, and continuing through June 30, 2020; and WHEREAS, the Board voted at its meeting on June 13, 2019, to approve the Fist Supplement providing for an extension ofthe Superintendent's term of employment by one year, fora term continuing through June 30, 2021, and e 2.44% increase in the Superintendent's base salary in ‘alignment withthe across-the-board salary increases of other dstiet personnel; and WHEREAS, the Board has conducted an annual performance review ofthe Superintendent in saceordance with Section 3 of the Agreement; and WHEREAS, the Bond has voted to approve this Sevond Supplement providing for an exteasion of the Superintendent's orm of employment by two years and an inerease in salary, ‘commensurate withthe salary increase and COLA of distict administrators, in the Superintendent's base salary NOW, THEREFORE, in consideration ofthe promises contained herein, the parties mutually agree as follows: 1. The torms and conditions of employment specified in the Agreement shall continue to apply during the term of this Second Supplement except to the extent this Second Supplement provides otherwise ar tothe extent such terms or conditions are inconsistent with the terms or conditions specified inthis Second Supplement. 2. D. pated: 9-7] - 22 FOURTH SUPPLEMENT TO THE, ‘SUPERINTENDENT EMPLOYMENT AGREEMENT THIS FOURTH SUPPLEMENT TO THE SUPERINTENDENT EMPLOYMENT AGREEMENT (“Fourth Supplement”) is made by and between the Milwaukee Board of School Directors (hereinafter, the “Board” and Dr, Keith P.Posley (hereinafter, the “Superintendent”), WHEREAS, the Board, acting pursuant to Wis, Sta §§ 118,24(1) and (6) and 119.32(1), and its rules, voted a its meeting on October 9, 2018, to elect Dr. Keith Posley to the position of Superintendent of Schools; and WHEREAS, the Superintendent agreed to assume the position of Superinterdeat of Schools in ‘accordance with all applicable laws, Board rules and policies, and Board-approved administrative Policies, procedures, guidlines, and lawl directives, and in accordance with all other terms and ‘conditions of the Superintendent Employment Agreement (hereinafter, the “Agreement"), which ‘was signed and witnessed on October 18, 2018, fora term commencing October 19, 2018. and continuing through June 30, 2020; and WHEREAS, the Board voted to approve the First Supplement providing for an extension of the Superintendent's term of employment by one year, for a term continuing through June 30, 2021, and a 2.44% increase in the Superintendent's base salary in alignment withthe across-the-board salary increases of other district personnel; and WHEREAS, the Board voted to approve the Second Supplement providing for an extension of the Superintendent's term of employment by two years and aa increase in salary, commensurate with the salary increase and COLA of district administrators, inthe Superintendents base salary, and WHEREAS, the Board voted to approve the Third Supplement providing for an increase in salary, commensurate withthe 4.7% COLA for district employees in 2022, in the Supatintendeat’s base salary; and WHEREAS, the Board has voted to approve this Fourth Supplement providing for an extension of the Superintendent's term of employment by one year and aa increase in salary, commensurate with the 8.02% COLA for district employees in 2023, in the Superintendent's base salary.
