1.0 ACCEPTANCE:

I, acting for and on behalf of and by the order and direction of the Tamil Nadu Generation and
Distribution Corporation Limited, accept your tender for the work of Laying of 33 KV , 1 x630
sq.mm XLPE UG cable from Madhavaram 4 pole structure to CMBTT 33/11 KV SS conforming to
specification No.CED/CNR/C-190/2023-24 and award this work for a value of
Rs.1,24,80,788.02 /-(Rupees one crore, twenty four lakh, eighty thousand, seven hundred
and eighty eight and two paise only)[including GST @ 18%] at the rates detailed in the Accepted
Price Schedule annexed hereto, subject to the terms and conditions stipulated in the tender
specification and in the subsequent references cited above.

2.0 SECURITY DEPOSIT:

As per Clause-4.0/ Section-D of the specification CED/CNR/C-190/2023-24, the Security Deposit
payable by you at 5% of the contract value works out to Rs.6,24,050/-. Besides the EMD amount
of Rs.1,35,700.00 paid by you, you are requested to remit a sum of Rs.4,88,350/- (Rupees four

 lakh, eighty eight thousand, three hundred and fifty only) by Demand Draft, Banker’s Cheque or
in the form of electronic mode through NEFT/RTGS in favour of the Superintending Engineer/
Chennai Development Circle/TANGEDCO towards Security Deposit within 30 days from the date
of this acceptance letter. Failure to remit the Security Deposit in full and execute the contract
agreement within the stipulated time limit will lead to cancellation of the acceptance letter
together with forfeiture of Earnest Money Deposit as per Clause-4.0/Section-D of the specification
CED/CNR/C-190/2023-24.

3.0 RETENTION AMOUNT/WITH HELD AMOUNT/ADDITIONAL SECURITY DEPOSIT:

Besides the Security Deposit stipulated in Clause-4.0 above, a further amount of 5% of the value
of the work done will be recovered from each intermediate bill and withheld as Retention Amount
towards satisfactory completion of the work as per Clause 4.2/Section-D of the tender
specification CED/CNR/C-190/2023-24.
The Security Deposit and Retention Amount shall be refunded after satisfactory completion of all
the contractual obligations in respect of this work as per Clause 55.0/Section-D of the
specification CED/CNR/C-190/2023-24.

4.0 TAKING OVER OF SITE:

The contract period shall commence from the date of taking over of site. The CONTRACTOR
should take over the site within 10 days from the date of payment of security deposit. The work
shall be commenced within two weeks from the date of taking over of site. In case of failure to take
over the site the CONTRACT is liable for cancellation, as per Clause 11.0/Section-D of the
specification CED/CNR/C-190/2023-24.
You are requested to contact the Superintending Engineer/Chennai Development
Circle/TANGEDCO, Guindy, Chennai-32 for taking over the site.

5.0 TERMS OF PAYMENT:

Payment will be made as per Clause 21.8/ Section-D of the specification CED/CNR/C-190/2023-
24. An intermediate payment for a sum equal to 95% of value of work done as so certified will be
made and the balance 5% will be withheld as Retention Amount for the due fulfillment of the
contract.

6.0 COMPLETION PERIOD AND LIQUIDATED DAMAGE:

The entire work should be completed within a period of 60 days from the date of taking over of
the site as per Clause-11.0/ Section-D of the specification CED/CNR/C-190/2023-2024.

 Liquidated Damages will be levied as per Clause-19.0/Section-D of the specification CED/CNR/C-
190/2023-2024 for any delay in the commencement and completion of the work within the time
specified in the contract or any authorized extension thereto.

For poor progress of work, penalty will be imposed as per Clause-19.0/Section-D of the
specification CED/CNR/C-190/2023-24.

7.0 PRICES AND RATES:

The Prices and Rates offered by you for due performance of the works under this contract shall
be FIRM for the entire duration of the contract and any agreed extensions thereto, as per Clause-
70.0/Section-D of the specification CED/CNR/C-190/2023-24.

8.0 TAXES AND DUTIES:

Applicable Taxes and Duties including the Goods and Service Tax (GST) are payable by you as
per Clause-72.0/Section-D of the specification CED/CNR/C-190/2023-24.

Besides, the terms and conditions regarding EPF and ESI shall also be complied with as stipulated
in Clause 74.0 & 75.0/Section-D of the tender Specification CED/CNR/C-190/2023-24.

Any statutory variation in the taxes and duties specified therein within the contract period alone
shall be considered for reimbursement, if any, against the documentary evidence, as per Clause-
78.0/Section-D of the specification CED/CNR/C-190/2023-24.

9.0 ARBITRATION:

As per Clause 41.0/Section-D of the specification CED/CNR/C-190/2023-24, Arbitration is not

applicable to this contract.

10.0 JURISDICTION FOR LEGAL PROCEEDINGS:

An Undertaking in a non-judicial stamp-paper of value Rs.100 should be furnished towards

Jurisdiction of Legal Proceedings on receipt of Acceptance Letter, as per Clause 42.2/Section-D of
the specification CED/CNR/C-190/2023-24.

11.0 AGREEMENT:
A written Agreement shall be entered into with the Superintending Engineer/Chennai
Development Circle/TANGEDCO in a non-judicial stamp paper of Rs.100/- in the standard form as
per Clause 1.7/Section-D of the specification CED/CNR/C-190/2023-24.

12.0 CORRESPONDENCE:

All the correspondences of general and technical nature may be addressed to the Chief
Engineer/Distribution/North Region and the correspondence relating to payment of bills,
accounts, works etc., may be addressed to the Superintending Engineer/Chennai Development
Circle/TANGEDCO, A-10,Thiru-vi-ka Industrial Estate, Guindy, Chennai-32, with a copy to the
Chief Engineer/ Distribution/North Region, 5A Block, 144, Anna Salai, Chennai-2.

13.0 OTHER CONDITIONS:

In addition to the above clauses, all other terms and conditions stipulated in the specification
CED/CNR/C-190/2023-24 and not specifically mentioned herein may also apply to this contract
without any prejudice.

The date of remittance of Security Deposit and taking over of site may be intimated to this office
immediately thereon.
