WHAT IS A BUSINESS MEETING ?

A business meeting is a formal gathering of business people for discussing and


deciding some business matters regarding achievement of business goals and
objectives .

PURPOSE - The purpose of a business meeting is often to make important


decisions regarding the organization. 
Another common objective for meetings includes making important
announcements. 

Business meetings take place at all levels of management.

These are generally conducted in person in an office, however with the rise of
video conferencing technologies, participants can join a business meeting from
anywhere.

1.MEETING OF BOARD OF DIRECTORS
• Board of directors – highest organ of management
• It is a formal meeting of an organization's board members.
• Purpose- held time to time to take important decisions about company’s
affairs.
• Example - discuss major problems and policy issues within the organization,
declaration of dividends etc.

2. STATUTORY MEETING
• First meeting of the members after the in- cooperation of the company.
• Purpose – Acquaint the members with the company’s affairs.
• Discussion regarding matters related to formation of the company takes
place.
• A statutory Report sent along with the notice of the statutory meeting.
3. ANNUAL GENERAL MEETING
• Meeting every company required to hold every year a general meeting of its
members.
• Purpose – Provides opportunity to members to discuss the working and
affairs of the company.

4. EXTRA-ORDINARY GENERAL MEETING


• Meeting held between two annual general meetings.
• Purpose – called to consider an urgent and important matters, the
considerations of which can not be postponed to the next annual general
meeting.
• It may be convened.
• 1) By the Board of directors On its own or on the requisition of the members.
• 2) by the requisitionists themselves on the failure of the Board of directors to
call the meeting.
WHAT IS A NOTICE ?
• A Notice of Meeting of a Company is a document
informing the members or directors of a company about
an upcoming meeting. 

• It is a statutory requirement to issue a notice.

• A proper notice of the meeting must be sent to every


person entitled to attend and vote at the meeting.

• A meeting is not properly conveyed unless notice of the


meeting is sent.

• A notice must be written or mailed and must be given


sufficiently in advance.
THE NOTICE OF A MEETING MUST SPECIFIC -
• The date, time and place of the meeting
• The name of the company
• The type of meeting
• The authority by which notice is issued
• The matters to be discussed at the meeting
• The date of issue of the notice
• An enclosures required to be sent with the notice.

1.Notice of Board Meeting
• The notice of Board Meeting refers to a document that is sent to all
directors of the company.
• This document informs the members about the venue, date, time, and
agenda of the meeting.
• All types of companies are required to give notice at least 7 days before
the actual day of the meeting.

2. Notice of Annual General Meeting


• A notice of at least 21 days must be given for the annual general meeting.
• The notice must state the date, time and place of the meeting.
• It must specify that a member entitled to attend and vote at the meeting
can appoint a proxy.
• Copies of Annual Accounts, Director’s Report and Auditor’s Report are
sent along with the notice.
3. Notice of Extra – Ordinary General Meeting
• The notice for an extra- ordinary general must be given 21 days before the
date of the meeting.
• The notice must specify the date, time and place of the meeting.
• The purpose of the meeting is also stated in the notice.
