We thank you for your interest in being a part of Credent Cold Chain Logistics Pvt. Ltd. (Apollo Healthco
Ltd) team and accordingly, based on our subsequent discussions, we are pleased to give you the profile of
“Medical Sales Representative” in this contract. Your contract initiation date would be 17th Jan’23.
1. COMPENSATION & BENEFITS: Your monthly payment will be INR 15,000 (Rupees Fifteen
Thousand Only). This is subject to TDS @1% under Section 194C of Income Tax Act 1961
Your compensation is purely a matter between yourself and the Company and has been arrived at, based
on your specific background, education, and professional merits. We expect you to maintain this
information as personal & confidential.
3. AGREEMENT & ENGAGEMENT TERMS: On your initiation date of your contract in the
Company, a formal agreement to affect Non-Disclosure of any confidential/proprietorship information
and non-compete agreement, shall be executed. You will be required to keep all the information, data,
documents, technical know-how, information regarding the company’s clients, it's business, etc.

4. RULES AND REGULATIONS: Your contract may be brought in force or amended from time to time,
as applicable to all persons of the company as per the policy and procedure manual.
5. SERVICE CONTRACT: The contract shall be ended by any of the party after giving notice of min
15days or max 30days . However, the company reserves the right to discontinue this agreement without
any notice period for a) a material breach of this contract and/or b) non-performance c) a breach of
policies or procedures of the company d) a criminal offense or e) an action that is deemed damaging to
the reputation or business of the company f) if the requirement of the company will be closed.
6. GENERAL: During the course of your contract, you will demonstrate yourself efficiently, honestly,
faithfully and to the best of your ability and shall give your maximum efforts and attention to promote
the interest of the company and generally carry out the duties and work as assigned to you. You shall
adhere to and comply with all lawful instructions and directions given to you by the concerned superiors
in the company.
7. PLACE OF POSTING AND TRANSFER: Your current location of working is at DELHI, India,
referred to as the base location. During your engagement with the company, your services may be posted
or transferred/attached to any of the offices/subsidiary’s units/associate offices of the company, to any
town or city in India, at the sole discretion of the management. While deployed with an associate or
affiliate company on transferred/attached basis, you shall be entitled to compensation as mutually
agreed.
8. BUSINESS TRAVEL: You may be asked to travel across different places in India or internationally.
Travel will be a regular aspect based on the nature of your contract and one must ensure that as per the
business needs one will make oneself available without delays to travel to various locations and for
varied periods. Although, all the travel reimbursements will be given by the company.
9. MORAL RESPONSIBILITY & HONESTY: You are expected to manage the company's money,
material assets, knowledge assets, information and documents with utmost honesty and professional
ethics. Your contract may be terminated at any time without previous notice if you are found guilty of
gross indiscipline, fraud, misappropriation or of actions against the interests of the company.
10. EXAMS & COURSES: In case you intend to appear in examinations or enroll in courses while in
engagement at Credent, you are required to inform your reporting manager and HR and obtain written
approval for the same providing full details including the time frame involved.
11. INVENTION & DISCOVERIES: While engaged with Credent, you will promptly disclose and assign
any invention, improvement or discovery made or conceived by you either alone or jointly with others
as a property of the company. Any proceedings relating to such invention, improvement or discovery
will be a property of the company and the company will hold the patent rights either domestic and/or
foreign patent or other protection covering the same.
12. MEDICAL FITNESS: You are required to continuously maintain your physical and mental health so
as to be able to perform well and to discharge your responsibilities adequately. If at any point of time
during your association you are found to be medically unfit for the contract or the role assigned to you,
then your engagement term will be reviewed and reconsidered as per the company rules.
13. SECRECY:
a. You will not share with anyone, by word of mouth, writing, facsimile any particulars or details,
which you acquire during the course of your association with the company’s working systems,
technical knowhow, security arrangements, administrative and or organization matters or details
pertaining to Credent’s customers and associates whether confidential, secret or otherwise, either
during your association with the Company or afterwards
b. Please note that the terms and conditions of your service contract as stipulated here-to-forth or to
be intimated hereafter, are to be treated as strictly confidential and you are not to divulge its
contents to any employee of the company/person associated with the Company.
14. Non-Smoking & Alcohol Policy: The Company follows a strict this policy and smoking &
consuming alcohol are prohibited in the workplace.
You are advised to read this letter carefully and if the terms and conditions are acceptable to you please sign as

You would be required to present in the office on the date of initiation of contract and need to carry the
following documents in original for verification and photocopies for submission for our record purpose:
This offer for engagement given to you by the Company is subject to the successful completion of reference
checks, background investigation and verification/authentication of all details, and documents submitted by you.
Submission of any wrong or false facts/particulars/details or fake/forged documents or any other
misrepresentation of any nature whatsoever, including but not limited to, suppression of any facts
details/particulars/documents shall result in automatic disqualification from further consideration of your
candidature or for withdrawal of the offer of engagement (if any) or for immediate termination from
engagement without recourse. This is without prejudice to all other rights and remedies which the company may
have for or against you.
Further, in such an event, you shall be responsible to pay Credent for all financial expenses incurred by Credent
in your training, disruption and damages to customers or any partners, and any direct, indirect, and
consequential costs. You shall also not claim any compensation from Credent in the above circumstances.
The Company reserves the right to change the terms and conditions of engagement and its policies and
procedures at any time. While we hope and expect that this will be the beginning of a long and rewarding
relationship, this letter should not be construed as a guarantee of employment by Credent or for any specified
period or length of time.
